General terms and conditions for construction services (B2B)
These terms apply exclusively to business with entrepreneurs in the sense of §14 BGB. They govern construction services rendered by ILLUMEA Solar GmbH in the field of photovoltaic installation.
§1 Validity
Only these terms apply. Deviating conditions of the client become part of the contract only by express written confirmation.
§2 Offer & conclusion of contract
Offers are non-binding unless explicitly marked as binding. The contract is concluded by written order confirmation or commencement of service.
§3 Scope of services
The scope is defined by the offer and order confirmation. Amendments require written form and are billed at the rates of the offer or by mutual agreement.
§4 Client's cooperation duties
The client provides all documents (structural data, site plan, permits), connections (power, water, sanitary) and access to the site in good time. Delays from the client's sphere of responsibility are not at our expense.
§5 Remuneration & payment
Unless agreed otherwise, billing is based on actual measurement. Payments are due within 14 days of invoice date. Interim invoices may be issued in line with construction progress.
§6 Warranty
Statutory warranty periods for construction services apply (§634a BGB). Defects must be reported in writing without undue delay after discovery. We are entitled to choose subsequent performance through repair or new manufacture.
§7 Liability
We are liable per statutory provisions; however, liability for negligently caused property and financial damage is limited to the insurance sum of EUR 3M lump sum per incident, to the extent legally permissible. Liability for personal injury remains unaffected.
§8 Retention of title
Delivered materials remain the property of ILLUMEA Solar GmbH until full payment, to the extent technically permissible.
§9 Force majeure
Events of force majeure — including strikes, supply shortages, official orders and weather that prevents orderly construction — release us from performance obligations for their duration and extend deadlines accordingly.
§10 Place of jurisdiction & applicable law
German law applies, excluding the UN Sales Convention. Place of jurisdiction is Cottbus, where the client is a merchant.
§11 Severability
Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
